Overview
These Terms of Service (“Terms”) govern your access to and use of the TractIQ website (tractiq.com), its database (“TIQ”), API, and related services (collectively, the “Services”). Eligible Users & Purpose
TractIQ is designed for business use only. Services may be used for internal purposes and not for resale, redistribution, or consumer use.
Users must be at least 13 years old to access the Services.
Account Registration & Security
A valid account is required to access TractIQ. You agree to:
- Provide accurate, current registration information (e.g., email).
- Safeguard your login credentials.
- Keep your information up to date.
Use of Content & License
All content on the platform (“Our Content and Materials”) is owned by TractIQ or its licensors and is protected by law.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for internal business purposes only.
You may not reproduce, modify, distribute, reverse engineer, scrape, or otherwise use the Services outside of this scope.
User Content
You retain ownership of any content you upload (“User Content”). By submitting content, you grant TractIQ a royalty-free, perpetual, sublicensable license to use it for operating and improving the Services.
We reserve the right to remove or modify User Content at our discretion.
Aggregated & Third-Party Data
- TractIQ may use anonymized, aggregated usage data to generate insights and benchmarks.
- We are not responsible for third-party content or materials accessed through the Services.
API Usage
API access is for internal business use only. It may be subject to rate limits and technical changes (with at least 30 days’ notice).
Prohibited uses include:
- Price-fixing or anti-competitive behavior.
- Redistributing or reselling API data.
- Circumventing rate limits or security measures.
TractIQ reserves the right to audit API usage and suspend access if violations occur.
Prohibited Conduct
You may not use the Services:
- In violation of any law or regulation.
- To harm or exploit minors.
- For impersonation, spamming, or unauthorized promotions.
- In ways that are abusive, anti-competitive, or unlawful.
Intellectual Property & DMCA
You must not remove or obscure proprietary notices.
TractIQ may remove infringing content and terminate repeat infringers.
Copyright complaints will be handled under our DMCA policy.
Subscription Terms
- We offer a 7-day free trial, followed by auto-renewing monthly or annual subscriptions.
- Subscriptions must be canceled prior to renewal to avoid additional charges.
- Refunds are generally not provided; credits may be issued at our discretion.
- Checks payments are not accepted for monthly subscriptions.
Pricing Changes
If subscription prices change, you will receive at least 14 days’ notice. Continued use of the Services after notice constitutes acceptance of the new pricing.
Service Modifications & Termination
We may modify, suspend, or discontinue any Services at any time without liability.
Security
TractIQ implements safeguards to protect accounts but cannot guarantee absolute security. Users are responsible for protecting credentials and reporting suspected breaches.
Disclaimers & Limitation of Liability
The Services are provided “as-is” without warranties of accuracy, availability, or fitness for a particular purpose.
TractIQ’s liability is limited to the amount paid under your subscription. We are not liable for indirect, incidental, or consequential damages.
Indemnification
You agree to indemnify and hold harmless TractIQ from claims, damages, or expenses arising from misuse of the Services, violation of these Terms, or unlawful conduct.
Dispute Resolution
- Disputes should first be addressed informally via TractIQ support.
- If unresolved, binding arbitration under AAA Rules will apply.
- You waive the right to a jury trial or class action.
- Arbitration will take place in Austin, Texas, unless otherwise agreed.
Governing Law
These Terms are governed by Texas law. Any disputes must be brought in Travis County, Texas, subject to the arbitration clause above.
Miscellaneous
- If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
- TractIQ is not responsible for delays or failures caused by events outside our control (force majeure).
- These Terms represent the entire agreement between you and TractIQ.
